APPEARANCE RELEASE FORM Terms and Conditions I, the person named on the Smidgit account, (of which shall be collectively referred to as “the Performer”) hereby freely and unconditionally consent and grant and release to Tarob International Pty Ltd and it’s officers, representatives, affiliates, shareholders, agents, personnel, trustees, directors, employees, contractors, successors, assignees, licensees, third-parties or anyone authorized by Tarob International Pty Ltd (of which shall be collectively referred to here under as “Tarob”) the irrevocable and perpetual right throughout the world to use, reproduce, edit, broadcast, display, publish, sell, distribute and copyright as Tarob desire, the video or videos (of which shall collectively be referred to as “the video”) of which “the Performer” is uploading and performing in . I, “the Performer”, also release to Tarob any and all still photographs taken from the video, or images I email or upload to Tarob, audio recordings, and/or other materials in whole or part, singularly or in conjunction. I, “the Performer”, grant exclusive permission for Tarob to use my image from “the video” or from any images I upload or email to Tarob and/or my username, on the reminder program Smidgit (hereafter known as “Smidgit”), the Smidgit website (www.smidgit.com) and all advertising and paraphernalia in connection with, but not limited to publicizing, exhibiting and exploiting “Smidgit”, in whole or in part, in any manner whatsoever, by any and all means, media or other devices and technologies as Tarob sees fit. I, “the Performer”, agree for Tarob to retain “the video”, or copies of “the video” and images from “the video” or any other images I email or upload to Tarob for the use or sale including but not limited to use in the Smidgit software program, Smidgit website, Smidgit Applications and any other multi-level media, free to air television and/or video and/or DVD and/or website, Internet use and/or any commercial television worldwide. I, “the Performer”, agree for Tarob to retain “the video, or copies of “the video” and images from “the video” or those I upload or email to Tarob for the period of time required by Tarob under the Australian Archives Act. I, “the Performer”, agree that I shall not receive any compensation for my performance in “the video” or for “the video” or for any images I provide to Tarob. I also hereby release Tarob from any obligation to make any payment whatsoever. I, “the Performer”, agree that Tarob may edit, alter, dub and/or otherwise change “the video” or any images I upload or email to Tarob for any such purpose at its discretion. I, “the Performer”, hereby release Tarob or anyone authorized by Tarob from any and all claims and demands arising out of, or in connection with, such use including, without limitation, any and all claims for invasion of privacy, infringement of my right of publicity, and any other personal and/or other property rights, and I agree that I shall not now or in the future assert or maintain any such claim against Tarob. Tarob may assign, sell or distribute “the video”, or any part thereof including but not limited to images from “the video” or any images I email or upload to Tarob to any third party. I, “the Performer”, further agree that my performance in “the video” or any images I email or upload to Tarob confers upon me no rights of use, ownership or copyright. I, “the Performer”, release Tarob from any and/or all claims by myself or any third party that may arise in connection with my appearance in “the video” or any images I upload or email to Tarob. It is understood that Tarob are under no obligation to use, broadcast or upload “the video” or any images I email or upload to Tarob. Tarob retains the right to modify, delete, change or alter “the video” or any images I email or upload to Tarob. I, “the Performer”, give permission for my Smidgit username (as created on my Smidgit account) to be shown on the reminder program Smidgit and on the Smidgit website including but not limited to other paraphernalia including media and multi-media and advertising. I, “the Performer”, agree to not upload “the video” (without written consent from Tarob), if it contains commercial content or advertises a company, service or product or promotions and understands if they do so “the video” will be deleted. I, “the Performer”, agree to not upload “the video” if it contains any form of pornographic footage of which “the video” will be deleted. I, “the Performer”, agree that if I am a repeat offender of trying to upload pornographic content then I risk having my Smidgit account disabled or deleted. I, “the Performer”, agree to not upload “the video” if it carries any virus, spam, robots or other nasty things that will cause a meltdown, disruption, damage and/or inconvenience at Smidgit / Tarob Headquarters, including the Smidgit / Tarob web servers and any part of the Smidgit / Tarob infrastructure. I, “the Performer”, understand that Tarob employees or sub-contractors will be checking and editing “the video” submitted and that, to the best of my knowledge, I have created “the video” to be compliant with the Smidgit “How to make your video” specifications. I, “the Performer”, agree to make every effort to provide footage of a simple action being conducted in a SAFE, SLOW and SENSIBLE manner as shown on the “How to make your video” page and have followed the suggested steps. I, “the Performer”, understand that Tarob does not provide any confidentiality in regard to “the video” or images I email or upload to Tarob or those used in the program Smidgit. Tarob reserves the right to disable, suspend or delete any Human Smidgie account or any video at any time. Tarob does not permit videos or images to be uploaded if they infringe on copyright or others intellectual property rights and requires “the Performer” to ensure “the video” they are submitting for uploading to the program Smidgit is compliant. I, “the Performer”, agree if Tarob is contacted by the owner(s) of a copyright or intellectual property infringement in relation to “the video” or images submitted by me for uploading into the program Smidgit or for use of Tarob as it sees fit, then “the video” or the images I have provided may be deleted and my details may also be given to the owner(s). I, “the Performer”, affirm, represent and warrant that I own or have the necessary licenses, rights, consents, and permissions to appear in any images I email or upload to Tarob including performing in “the video” and I, “the Performer”, license to Tarob all patent, trademark, trade secret, copyright or other proprietary rights in and to such Content for “the video” and images I have provided to be uploaded and seen on the reminder program Smidgit and in any other media as Tarob sees fit. I, “the Performer”, acknowledge and understand that Tarob owns and will own all rights (including copyright) and intellectual property rights in “the video” and the images from “the video” and any other images I upload or email to Tarob. I, “the Performer”, warrant that there are no restrictions which prevent me from granting these rights. I, “the Performer”, agree to release and hold harmless Tarob and its officers, representatives, affiliates, agents, personnel, trustees, directors, officers, employees, contractors, successors, assignees, licensees, third-parties or anyone authorized by Tarob International Pty Ltd, against any and all claims for any loss, damages, personal injuries or property damages of any nature whatsoever without limitation resulting from “the Performer” performing in “the video” or making the video, or taking still images and I, “the Performer”, understand and agree that my performance in “the video” or modelling for the still images, is at my sole risk. I, “the Performer”, agree to defend, indemnify and hold harmless Tarob, and its officers, representatives, affiliates, agents, personnel, trustees, directors, officers, employees, contractors, successors, assignees, licensees, third-parties or anyone authorized by Tarob International Pty Ltd from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:- a/ “the video” b/ my performance in “the video” or while taking any still images. c/ violation of any term of the Terms of this Agreement d/ the violation of any third party right, including without limitation any copyright, property, or privacy right e/ any claim that my Content caused damage to a third party. This defence and indemnification obligation will survive this Agreement. I, “the Performer”, hereby certify that I am over the age of eighteen (18), and that I have read, understand and agree to the terms and conditions of this Agreement. Where “the Performer” is 18 years of age or older: Please acknowledge your acceptance of the above Terms and Conditions and the Privacy Policy below by clicking on the “I AGREE” Button. Where “the Performer” is UNDER 18 years of age: Tarob require your parent or guardian to list their name and give authorised approval for you to appear in and the uploading of “the video”. Parent or Guardian: I am the Parent or Guardian of “the Performer” as named on this account and as appearing in “the video” and have read the above Terms and Conditions and understand and agree to them and grant full authority to authorize the uploading of “the video” my child appears in. Tarob International Pty Ltd sells a software program called Smidgit™ which is an animated online reminder program to remind users at a computer to perform an action or movement. Tarob International Pty Ltd has also created a Human Smidgie website for users to create an account and upload videos for Tarob to consider placing inside its Smidgit program. Tarob will collect, process and use your personal data, from you creating a Human Smidgie account and from any emails you may send to our office. Some services may provide links from our website to the websites of third parties who may provide services to you directly. All transactions made on these third parties sites are governed by their privacy policies that may be different from our own. Personal Data Tarob International Pty Ltd collects, processes and uses your personal data, such as, but without limiting to, your first and last name, mailing address, email address, telephone, IDs and other personal information required to be collected in order for us to provide you with an active Human Smidgie account. The information that we ask you to provide is identified as mandatory. If you do not provide the mandatory data you will not be able to engage in creating an account. As a visitor to our Human Smidgie pages, you can enter or leave without providing any personal information, but in connection with creating a Human Smidgie account, Tarob International Pty Ltd requires you to provide certain information by filling out and submitting an online form.
